Submission Release Agreement (Please type or print clearly)

To Whom it may concern:

The undersigned (henceforth Submitter) hereby submits to Visionary Entertainment Studio, Inc. (henceforth VESI) for review a manuscript (henceforth Submission) and/or a collection of artwork (henceforth Submission). Submitter describes the Submission in the Submission as (# pieces, medium, type of content, etc.):

Submitter hereby agrees to be lawfully bound by the following conditions concerning receipt and evaluation of Submission by VESI:

1. The review of the submission in no way implies or creates a confidential relationship or other obligation of any kind between VESI and Submitter. Submitter acknowledges and agrees that elements of the Submission may already exist coincidentally in published work, unpublished work, or work in progress due to parallel development or previous development by VESI or its contractors. VESI alone shall have the authority to determine that VESI has an independent legal right to use the Submission or any portion thereof which is not derived from Submitter either because the Submission is not new, novel or original or has not been reduced to concrete form or because other persons (which may include VESI employees or other persons presenting submissions to VESI) have submitted similar or identical suggestions, features, and material which VESI has the right to use. As such, Submitter waives all rights of recourse concerning possible copyright infringement or other possible violations of common law, copyright statutes or trademark statutes by VESI. Any consideration of the Submission by VESI and any negotiations between Submitter and VESI regarding the Submission shall not be deemed an admission of the novelty or originality of the Submission.

2. Submitter hereby warrants that the Submission is an original work by Submitter and that no persons other than those who have signed this agreement have collaborated with Submitter in creating or developing the Submission, and that he has the right to submit this Submission to VESI on the terms and conditions of this submission release agreement, and guarantees that the Submission is his original creation free of any infringement of copyright, trademark or common law. Any ensuing charges of plagiarism or violation of copyright, trademark or common law are the sole responsibility of the Submitter who will bear all costs of any necessary legal defense.

3. Submitter agrees that VESI may retain a copy of the Submission and Submitter releases VESI from any liability for loss or damage thereto.

4. Submitter hereby grants VESI the right to use the Submission provided that VESI shall first conclude an agreement with Submitter for such use. Submitter agrees and acknowledges that if VESI purchases the Submission or any work based upon it, VESI purchases all copyrights, trademarks and tradenames concerning the Submission or any work based upon it world-wide in all languages, for the life of the work. VESI will have the right to freely create or license any form of derivative works or products based upon any elements of the purchased Submission or work based upon it without any further payment or dealings with the Submitter. By selling the Submission or work based upon it to VESI, Submitter automatically forfeits all rights of any nature, present or future, to the Submission or any work based upon it. VESI automatically receives the right to use any excerpts or portions of the Submission or work based upon it for promotional purposes, without additional payment or dealings with Submitter.

5. Submitter acknowledges and agrees that VESI reserves the right to edit, revise and rewrite Submitter's Submission in preparation for publication, should the Submission be purchased by VESI.

6. At VESI's election, any dispute between VESI and Submitter may be submitted to arbitration in Georgia, in accordance with the rules and regulations of the American Arbitration Association. Submitter agrees that any action against VESI, VESI's employees, officers, directors, shareholders or contractors based on the Submission must be brought within one year after the date of VESI's first publication or other relevant use of the Submission.

7. This submission release agreement constitutes the entire agreement pertaining between VESI and Submitter concerning this Submission and the signature of any person who has collaborated with Submitter in the creation or development of the Submission shall constitute agreement to the terms and conditions set forth herein. Any modification to this submission release agreement must be made before Submitter signs this form and only by a written instrument signed by Submitter and an officer of VESI. The invalidity of any portion of this agreement shall not affect the remainder, which shall continue in full force and effect.

Make and use photocopies of this form as needed. In case of collaboration, each collaborator must sign and provide the above information. This Submission Release Agreement, filled out appropriately, must be mailed in with the Submission.
